Please read these terms and conditions carefully before using our platform.
Introduction & Eligibility
Welcome to Social Klout. By accessing or using our platform as a Customer, you agree to be bound by these Terms. Social Klout operates a digital marketplace connecting Customers with independent Creators for bespoke digital interactions ("Orders"). You must be at least 18 years old to register and use the Services.
App Store Digital Goods Exemption & External Consumption
Important Notice regarding Digital Deliverables: All Orders booked on Social Klout (such as Creator Collaborations and Sponsored Comments) are classified as direct, one-to-one professional services. Furthermore, all digital deliverables are strictly intended for export and consumption outside of the Social Klout application (e.g., for posting on your personal Instagram, TikTok, or external social media profiles). Because these are person-to-person services consumed externally, Social Klout utilizes third-party processors like Stripe, Apple Pay, and Google Pay, in compliance with digital marketplace guidelines.
Booking, Apple Pay, Google Pay & Stripe Processing
When you submit an Order request, you authorize a hold for the total amount (including applicable platform fees and consumption taxes) on your payment method.
- Third-Party Processors: Payments are processed via Stripe. By choosing Apple Pay or Google Pay at checkout, you also agree to the respective Terms of Service of Apple Inc. or Google LLC.
- No Cancellations: Due to the bespoke nature of the services, once an Order is accepted by a Creator, it becomes a binding agreement and cannot be canceled.
- Anti-Chargeback Policy: Initiating a fraudulent chargeback with your financial institution bypasses our dispute process and will result in a permanent account ban and potential recovery action.
Coupons, Discounts & Wallets
Social Klout may offer promotional coupons or referral credits. Any wallet balances, discounts, or referral credits applied at checkout possess absolutely zero fiat cash value, cannot be withdrawn or transferred, and are solely valid for future Social Klout Orders. Social Klout reserves the right to void coupons in cases of suspected fraud.
Refunds, Disputes & Mediation
If a Creator fails to deliver the accepted Service within the agreed timeframe, the Order is automatically canceled, and you receive a full refund.
- Filing a Dispute: If you receive a fulfilled Order but believe it materially deviated from your instructions, you may initiate a formal Dispute.
- Mediation: Social Klout acts as the sole and final arbiter. Based on chat logs and instructions, Social Klout may mandate a Full Refund, a Partial Refund, or No Refund.
Intellectual Property & License
Upon successful payment and delivery, the Creator grants you a non-exclusive, worldwide, royalty-free, perpetual license to utilize the digital deliverable for personal, non-commercial use only (unless a specific commercial license was authorized during booking).
- Commercial Prohibition: You may not re-sell, distribute for commercial gain, broadcast on television, or use the deliverables in commercial advertising. Doing so violates these Terms and infringes on the Creator's intellectual property.
General Provisions & US Law Compliance
User-Generated Content (UGC) & App Store Compliance:
- We enforce a zero-tolerance policy for defamatory, sexually explicit, violent, or illegal content.
- Users must utilize in-app reporting tools to flag abusive users. Social Klout commits to reviewing and acting upon all abuse reports within twenty-four (24) hours of receipt.
- Social Klout reserves the absolute right to remove any content and permanently ban offending users without prior notice.
Telephone Consumer Protection Act (TCPA) Consent:
By providing your mobile phone number, you expressly consent to receive automated transactional SMS messages (such as OTPs, order updates, and security alerts) from Social Klout. Standard message and data rates may apply.
Platform as a Neutral Host (CDA Section 230):
Pursuant to Section 230 of the Communications Decency Act (47 U.S.C. § 230), Social Klout operates strictly as an interactive computer service and marketplace facilitator. Social Klout is not the publisher or speaker of any user-generated content or Creator deliverables and disclaims all liability for such content.
Account Deletion Protocol:
If a user attempts to delete an account while possessing pending, unfulfilled Orders, active disputes, or pending financial payouts, the deletion request will be suspended until all outstanding financial liabilities are fully resolved. Digital Millennium Copyright Act (DMCA):
If you believe your copyrighted work has been infringed, submit a formal DMCA Takedown Notice to kloutsocialapp@gmail.com with your signature, identification of the work, and a statement under penalty of perjury.
Binding Arbitration & Class Action Waiver:
Any dispute arising out of these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA). YOU AND SOCIAL KLOUT AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL KLOUT SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) TOTAL PLATFORM FEES RETAINED FROM YOUR TRANSACTIONS IN THE PAST SIX MONTHS, OR (B) $100 USD.
